Motion to approve a Consent to Assignment and Assumption Agreement from CB&I Environmental & Infrastructure, Inc. to Aptim Environmental & Infrastructure, Inc.

Background:

On August 31, 2017, the City of Delray Beach (City) executed an agreement with CB&I Environmental & Infrastructure, Inc. in accordance with the City's Request for Qualifications RFQ 2017-048, Continuing Engineering, Surveying, and Landscape Architectural Consulting Services (Agreement). The Agreement is for professional services in the fields of coastal and marine engineering, survey and mapping and environmental / natural resources which term is for five years from August 31, 2017 through August 30, 2022 with an option to renew the agreement for one, two-year term.

 

On June 30, 2017 CB&I Environmental & Infrastructure, Inc. was acquired by Veritas Capital and has rebranded their business as Aptim Environmental & Infrastructure, Inc. (Aptim).  Aptim has expressed its intention to assume all of CB&I Environmental & Infrastructure, Inc. rights and obligations with the City.

 

This recommendation is in accordance with the City Code of Ordinances.

Funding Source/Financial Impact:

This approval is required for the City to continue to acquire services from this company under the Continuing Engineering, Surveying, and Landscape Architectural Consulting Services contract.  Failure to approve the consent to assignment to Aptim for the Continuing Engineering, Surveying, and Landscape Architectural Consulting Services will decrease the list of potential consultants that the City has been authorized to select from to perform this type of work from two consultants to one consultant and jeopardize two existing Service Authorizations that have been executed and where work is ongoing.  The funding source varies based on the particular Service Authorization / Project.

 

Timing of Request:

This request is time sensitive as future Service Authorizations will be processed with the new company's name.
