Motion to approve assignment of all interests and rights under any and all active agreements with Keith and Schnars, P.A. to KCI Technologies, Inc. in accordance with the January 1, 2019 business acquisition.

Background:
On February 15, 2019, the City of Delray Beach (City) was notified that Keith and Schnars, P.A. (K&S”) was acquired by KCI Technologies, Inc. (KCI) on January 1, 2019. This request formally adopts the company acquisition, assigning all interests and rights under any and all active agreements with K&S to KCI.
Active agreements with K&S include, but may not be limited to, the agreements listed below. Each of the agreements listed are accompanied by an amendment to adopt the name change. Additionally, purchase orders not associated with a master agreement are covered under this request, as a purchase order is a form of agreement.
1. 2016-139-2 Agreement for Construction, Engineering, and Inspection Services for Phase 1 Construction of the Seacrest Beautification Project
2. 2017-048 Agreement for Continuing Engineering, Landscaping Architecture, and Land Surveying Consulting Services
3. 2017-075 Agreement for General Planning Services
This motion is in accordance with the Code of Ordinances Chapter 36, Commission Approval Required and Purchasing Policies, Change Orders and Amendments.
